Terms of Service

Effective May 6, 2026· Hyper Collective Inc.

1.Acceptance of Terms

By accessing or using the Hyper platform (“Platform”), you agree to be bound by:

  • These Terms of Service
  • Hyper's Privacy Policy
  • Any applicable Creator or Merchant agreements

If you do not agree, you may not access or use the Platform.

You represent that:

  • You are at least 18 years old
  • You have the legal authority to enter into this agreement

2.Platform Role and Nature of Service

Hyper provides a technology platform and algorithmic infrastructure that enables:

  • Campaign orchestration
  • Creator allocation
  • Influence measurement
  • Payment routing

Hyper is not:

  • A marketing agency
  • A broker or intermediary
  • A party to any agreement between users
  • Responsible for outcomes of campaigns

Core Legal Position

Hyper acts solely as a neutral infrastructure provider.

All relationships between users are independent, user-directed, and outside Hyper's control.

3.No Agency, Employment, or Partnership

Nothing in these Terms shall be deemed to create:

  • Employment relationship
  • Agency relationship
  • Partnership or joint venture
  • Fiduciary duty

Creators and Merchants operate as independent economic actors.

4.User Interactions and Relationships

Hyper does not:

  • Create agreements between users
  • Control communications between users
  • Guarantee performance or conduct

Users acknowledge: Hyper is not responsible for any interaction, dispute, or outcome between users.

5.Content Disclaimer and Liability

Hyper does not:

  • Create content
  • Approve content
  • Monitor content in real time

Creators are solely responsible for:

  • All content published
  • All representations and claims
  • Compliance with laws and regulations

Hyper expressly disclaims liability for:

  • Defamation
  • False advertising
  • Misrepresentation
  • Reputational harm
  • Intellectual property violations

6.Offline Interactions and Physical Risk Disclaimer

Hyper is a digital platform only.

Hyper is not responsible for:

  • Products or services provided by merchants
  • Food safety or contamination
  • Personal injury, illness, or death
  • Physical premises or conditions
  • Any in-person interactions

Explicit acknowledgment

Users agree that all offline interactions occur entirely at their own risk.

7.Impact Measurement and Platform Authority

Hyper uses proprietary systems to calculate Influence Units (IU).

Users acknowledge:

  • Methodology is confidential
  • Calculations are final and binding
  • Not subject to dispute

Hyper retains sole discretion over:

  • Measurement logic
  • Weighting systems
  • Attribution models

8.Payments and Financial Terms

Payments are processed via third-party providers, including Stripe.

By using the Platform, users agree to:

  • All applicable third-party payment terms
  • Stripe Connected Account Agreement

Hyper is not:

  • A financial institution
  • A custodian of funds
  • Responsible for payment failures

Hyper disclaims liability for:

  • Payment delays
  • Chargebacks
  • Failed transactions
  • Third-party processor errors

9.Fraud, Abuse, and Platform Integrity

Prohibited conduct includes:

  • Artificial engagement (bots, fake traffic)
  • Misrepresentation
  • Manipulation of metrics

Hyper may, at its sole discretion:

  • Withhold payments
  • Reverse transactions
  • Suspend or terminate accounts

10.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Hyper shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunity
  • Reputational harm
  • Personal injury or property damage

Aggregate Liability Cap

Hyper's total liability shall not exceed the total fees paid by the user to Hyper in the three (3) months preceding the claim.

Application

This limitation applies regardless of:

  • Legal theory (contract, tort, negligence, etc.)
  • Foreseeability of damages

11.Indemnification

You agree to defend, indemnify, and hold harmless Hyper and its:

  • Officers
  • Directors
  • Employees
  • Affiliates

From any and all claims, damages, liabilities, losses, and expenses (including attorneys' fees) arising out of:

  • Your content
  • Your use of the Platform
  • Your products or services
  • Your violation of law
  • Your breach of these Terms

Includes third-party claims related to:

  • Personal injury
  • Food safety
  • Advertising violations
  • Intellectual property

12.Arbitration & Class Action Waiver

All disputes shall be resolved through:

  • Binding Arbitration
  • Administered by the American Arbitration Association (AAA)

Rules

  • AAA Commercial Arbitration Rules apply
  • Arbitration takes place in California

Waivers

You waive:

  • Right to jury trial
  • Right to participate in class actions
  • Right to consolidated proceedings

Severability

If this clause is found unenforceable, the remainder of the Terms remain valid.

13.Termination

Hyper may suspend or terminate accounts:

  • For violations
  • For suspected fraud
  • At its sole discretion

Hyper may:

  • Withhold pending payments
  • Cancel campaigns

14.Governing Law

These Terms are governed by the laws of the State of California.

15.Export Control & Sanctions

Users may not access or use the Platform if:

  • Located in sanctioned jurisdictions
  • Listed on restricted party lists

16.Data & Privacy

Use of the Platform is governed by the Privacy Policy.

Hyper processes data for:

  • Matching
  • Measurement
  • Optimization
  • Fraud detection

Users consent to:

  • Automated processing
  • Data analysis

17.Modifications

Hyper may update these Terms at any time. Continued use = acceptance of updated Terms.

18.Entire Agreement

These Terms constitute the entire agreement between users and Hyper.

19.Creator Agreement (Addendum 1)

This Creator Agreement (“Agreement”) is entered into between you (“Creator”) and Hyper Collective Inc (“Hyper”). It supplements and forms part of the Hyper Terms of Service.

A1. Role and Status

Creator acknowledges and agrees that:

  • Creator is an independent contractor
  • Creator is not an employee, agent, or representative of Hyper
  • Creator has no authority to bind Hyper or any Merchant

Creator operates as an independent economic participant within the Hyper platform.

A2. Platform Function

Creator acknowledges that Hyper:

  • Allocates campaigns algorithmically
  • Does not guarantee campaign assignments
  • Does not guarantee earnings

All participation is performance-based and non-guaranteed.

A3. Content Responsibility

Creator is solely responsible for:

  • All content published
  • All claims, statements, and representations
  • Compliance with applicable laws

Including, without limitation:

  • Advertising laws
  • Consumer protection laws
  • Intellectual property laws

A4. Regulatory Compliance

Creator agrees to comply with all applicable disclosure requirements, including those of the Federal Trade Commission.

This includes:

  • Clear disclosure of sponsored content
  • Truthful representation of experiences

Failure to comply may result in:

  • Payment forfeiture
  • Account suspension or termination

A5. Compensation

Creator acknowledges:

  • Compensation is based solely on Influence Units (IU)
  • IU is determined by Hyper's proprietary systems
  • IU calculation is final and binding

No Guarantee

Creator understands: Hyper does not guarantee any level of earnings, campaign allocation, or income.

A6. Content License

Creator grants Hyper a:

  • Worldwide
  • Royalty-free
  • Perpetual
  • Irrevocable

license to:

  • Use
  • Reproduce
  • Display
  • Analyze
  • Distribute

any content created in connection with the Platform.

A7. Prohibited Conduct

Creator shall not:

  • Use bots or artificial engagement
  • Manipulate metrics
  • Misrepresent products or services
  • Engage in unlawful or deceptive practices

A8. Platform Discretion

Hyper may, at its sole discretion:

  • Allocate or not allocate campaigns
  • Adjust measurement methodologies
  • Withhold or reverse payments
  • Suspend or terminate Creator accounts

A9. Relationship with Merchants

Creator acknowledges:

  • Hyper does not create contracts between Creator and Merchants
  • Creator interacts with Merchants at their own risk

Hyper is not responsible for:

  • Merchant conduct
  • Merchant products or services
  • Any dispute between Creator and Merchant

A10. Offline Risk Acknowledgment

Creator acknowledges that:

  • Participation may involve physical visits to merchant locations
  • Hyper is not responsible for any physical harm

Including:

  • Injury
  • Illness (including food poisoning)
  • Property damage

A11. Indemnification

Creator agrees to indemnify and hold harmless Hyper from any claims arising from:

  • Creator content
  • Creator conduct
  • Violations of law
  • Third-party claims

A12. Limitation of Liability

To the fullest extent permitted by law: Hyper shall not be liable for any damages arising from:

  • Creator participation
  • Platform usage
  • Campaign outcomes

A13. Termination

Hyper may terminate Creator access at any time.

Upon termination: Pending payments may be withheld pending review.

20.Merchant Agreement (Addendum 2)

This Merchant Agreement (“Agreement”) is entered into between you (“Merchant”) and Hyper Collective Inc.

M1. Role and Platform Function

Merchant acknowledges that Hyper:

  • Provides infrastructure for influence allocation
  • Does not guarantee outcomes
  • Does not act as an agency

Merchant is purchasing measured influence outcomes, not services from specific creators.

M2. No Guarantee of Results

Merchant acknowledges:

Hyper does not guarantee:

  • Sales
  • Revenue
  • Customer traffic
  • ROI

All campaigns are probabilistic and performance-based.

M3. Creator Independence

Merchant acknowledges that:

  • Creators are independent third parties
  • Creators are not employees or agents of Hyper

Hyper does not:

  • Control creator behavior
  • Approve creator content

M4. Content Risk Acknowledgment

Merchant acknowledges that:

  • Creator-generated content may impact brand perception
  • Content may be positive, neutral, or negative

Hyper is not responsible for:

  • Reputational impact
  • Messaging interpretation
  • Public reaction

M5. Product and Service Responsibility

Merchant is solely responsible for:

  • Product quality
  • Food safety
  • Compliance with health regulations
  • Customer experience

M6. Offline Liability

Merchant acknowledges:

Hyper is not responsible for:

  • Injuries occurring at merchant locations
  • Illness related to merchant products
  • Any real-world interaction

M7. Prepaid IU Balance and Settlement

Merchant funds campaigns by purchasing Influence Units (IU) in advance. The prepaid balance is denominated in IU; the dollar value is determined at the time of purchase by the prevailing IU price.

Each measured creator post draws IU from Merchant’s balance. Merchant authorizes:

  • Continuous debit of measured IU from the prepaid balance
  • Auto-reload of additional IU via the saved payment method when balance falls to or below the configured threshold (if Auto-Reload is enabled)
  • Settlement of any negative balance arising from creator posts that exceed the prepaid amount, via the saved payment method or via a Stripe-issued invoice payable on standard terms

If a creator post performs beyond the prepaid balance and Auto-Reload is not enabled or fails, Merchant agrees that the resulting negative balance is owed to Hyper and authorizes Hyper to collect it via the saved payment method or by issuing an invoice payable within seven (7) days. Merchant may opt to finance settlement via Buy-Now-Pay-Later (e.g., Stripe Capital) where available.

Refund policy: prepaid IU is non-refundable and does not expire. Unused balance carries forward indefinitely and may be applied to any future Hyper campaign.

Auto-Reload represents a recurring authorization to charge the saved payment method. Merchant may disable Auto-Reload at any time in the Hyper dashboard; doing so does not waive any prior charges or outstanding balance.

M8. Payments

Merchant agrees:

  • Payments are processed via third-party providers (e.g., Stripe)
  • Hyper is not responsible for payment processing failures

Merchant is responsible for:

  • Funding the IU balance
  • Maintaining a valid payment method on file

M9. Platform Authority

Merchant acknowledges that Hyper:

  • Determines Influence Units (IU)
  • Controls measurement systems
  • Has final authority over performance metrics

M10. Indemnification

Merchant agrees to indemnify Hyper from claims arising from:

  • Merchant products or services
  • Customer injuries or illness
  • Regulatory violations

M11. Limitation of Liability

To the fullest extent permitted: Hyper shall not be liable for:

  • Campaign performance
  • Business losses
  • Reputational damage

M12. Termination

Hyper may terminate Merchant access at any time.

Campaigns may be:

  • Suspended
  • Cancelled
